Terms of Use

1. Acceptance of Terms

By downloading, installing, or using Rhodium Core AI ("the Software"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Software.

2. License Grant

Free Version

Rhodium Core AI grants you a limited, non-exclusive, non-transferable, revocable license to use the free version of the Software for personal use, subject to a 30-memory limit.

Paid Licenses

Upon purchase of a paid license (+200 Memories or Unlimited):

• You receive a personal, non-transferable license key
• The license key may be activated on one (1) device at a time
• You may transfer the license between your own devices by deactivating it on one device before activating on another
• All purchases are final and non-refundable after 14 days
• Lifetime licenses include all future updates at no additional cost

3. Restrictions

You may NOT:

• Share, sell, rent, or transfer your license key to others
• Use the Software for commercial purposes without a commercial license
• Reverse engineer, decompile, or disassemble the Software
• Remove or modify any proprietary notices from the Software
• Use the Software to create competing products or services
• Activate a single license key on more than one device simultaneously
• Use the Software in any way that violates applicable laws or regulations

4. Ownership

The Software is licensed, not sold. Rhodium Core AI retains all intellectual property rights to the Software. This license does not grant you ownership of the Software.

5. Your Data

You retain full ownership of all data (conversations, memories) created while using the Software. This data is stored locally on your device and is not transmitted to us. You are responsible for backing up your data.

6. Third-Party Software

Rhodium Core requires Ollama (a third-party AI runtime) to function. Your use of Ollama is subject to its own terms and conditions. We are not responsible for Ollama's functionality or availability.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT

We do not guarantee that:

• The Software will be error-free or uninterrupted
• Defects will be corrected
• The Software is free from viruses or harmful components
• AI-generated responses will be accurate or appropriate

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RHODIUM CORE AI SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of data, profits, revenue, or business opportunities
• Any damages resulting from your use or inability to use the Software
• Any damages caused by AI-generated content or decisions made based on such content

Our total liability shall not exceed the amount you paid for the license.

9. AI Content Disclaimer

The Software uses artificial intelligence to generate responses. You acknowledge that:

• AI-generated content may be inaccurate, incomplete, or inappropriate
• You should verify important information before relying on it
• The Software should not be used for medical, legal, or financial advice
• We are not responsible for decisions made based on AI-generated content

10. Refund Policy

All purchases are final. No refunds after purchase.

11. License Violations

If we detect license key sharing, unauthorized use, or violation of these terms, we reserve the right to:

• Immediately revoke your license without refund
• Take legal action if necessary
• Ban your email address from future purchases

12. Updates and Modifications

We may update the Software at any time. Updates may:

• Add new features
• Fix bugs or security issues
• Modify existing functionality

Lifetime license holders receive all updates for free. We reserve the right to discontinue support for older versions.

13. Termination

This license is effective until terminated. Your rights terminate automatically if you fail to comply with these terms. Upon termination:

• You must stop using the Software
• You must delete all copies of the Software
• Your license key will be deactivated

14. Export Restrictions

You may not use or export the Software in violation of any applicable export laws or regulations.

15. Governing Law

These terms are governed by the laws of Taiwan. Any disputes shall be resolved in the courts of Taiwan.

16. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and Rhodium Core AI regarding use of the Software.

18. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be notified via:

• A notice on our website
• Email to registered users (if applicable)

Continued use of the Software after changes constitutes acceptance of the new terms.
